Overview
The Business Corporations Act provides for the following:
1. Incorporation of a business corporation
2. The registration of extra-provincial corporations
Eligibility
1.To incorporate a business corporation, the required articles of incorporation must be filed under the Act along with the appropriate fee payment.
2.An extra-provincial provincial corporation is required to become registered under the Act if it carries on business in New Brunswick. A fee payment is required for this along with appropriate documentation.
Description
1. Provisions exist under the Act detailing the incorporation process. Once incorporated, the corporation has certain reporting obligations such as the filing of an annual return under the Act. Likewise, processes are set out to deal with amendments to the charter of the corporation, amalgamations, dissolutions.
2. Provisions exist under the Act detailing the registration process for extra-provincial corporations. Once registered, the corporations has reporting obligations, such as the filing of an annual return. Likewise, processes are set out in the Act to deal with recording changes relating to the extra-provincial coproration, e.g. change in name of the corporation
Fees
Unless otherwise specified, Fees exclude the harmonized sales tax (HST).
